QuickBooks Connector End-User License Agreement

This End-User License Agreement governs access to and use of CoreData's QuickBooks Connector application. The application is currently intended for CoreData internal use and controlled evaluation. Future customer access may also be governed by a written services agreement, statement of work, order form, data processing agreement, or similar agreement with CoreData.

1. Parties

This agreement is between CoreData Incorporated ("CoreData", "we", "us", or "our") and the organization or individual authorized to access the QuickBooks Connector ("you" or "User"). If you use the application on behalf of an organization, you represent that you are authorized to bind that organization to this agreement.

2. Application Purpose

The QuickBooks Connector connects to authorized QuickBooks Online companies using Intuit OAuth and the QuickBooks Accounting API. It is used to retrieve, normalize, and export QuickBooks data for internal administration, reporting, integration, workflow automation, and related business-process automation.

3. License Grant

Subject to this agreement and any applicable written agreement with CoreData, CoreData grants you a limited, revocable, non-exclusive, non-transferable license to access and use the QuickBooks Connector only for authorized business purposes.

4. Authorized Use

You may use the application only with QuickBooks companies, customer records, and data that you are authorized to access. You are responsible for ensuring that your use complies with your organization's policies, applicable law, Intuit terms, and any instructions provided by CoreData.

5. Restrictions

You must not:

  • Use the application to access any QuickBooks company or customer data without authorization.
  • Share credentials, tokens, session access, exported reports, or application access with unauthorized parties.
  • Reverse engineer, decompile, modify, copy, resell, sublicense, or commercially exploit the application except as expressly permitted by CoreData in writing.
  • Interfere with or bypass security, authentication, authorization, rate limit, logging, or audit controls.
  • Use the application to transmit malware, perform unlawful activity, or violate Intuit's applicable developer, platform, or API terms.

6. QuickBooks and Intuit

QuickBooks and Intuit are third-party services. CoreData is not Intuit, and this application is not a substitute for QuickBooks Online. Your use of QuickBooks, Intuit services, and Intuit accounts remains subject to Intuit's own terms and policies.

7. Data and Security

The application may store connection metadata, OAuth tokens, customer identifiers, report output, logs, and configuration needed to operate the connector. CoreData applies administrative, technical, and physical safeguards designed to protect this data. CoreData is also working toward SOC 2 readiness. No security program can guarantee absolute security, and you must promptly notify CoreData if you suspect unauthorized access or misuse.

8. Customer Responsibilities

You are responsible for the accuracy, legality, and authorization of data you submit, connect, or make available through the application. You are also responsible for managing user access within your organization, maintaining appropriate QuickBooks permissions, and reviewing outputs before relying on them for operational, accounting, tax, or compliance decisions.

9. No Professional Advice

The application may produce reports, exports, or workflow outputs based on QuickBooks data. These outputs are provided for operational convenience and are not accounting, legal, tax, audit, or financial advice. You should consult qualified professionals before making decisions that require professional judgment.

10. Availability and Changes

CoreData may modify, suspend, restrict, or discontinue the application, in whole or in part, to improve the service, address security issues, comply with law or third-party requirements, or support operational needs.

11. Confidentiality

The application, related documentation, non-public workflows, credentials, tokens, and business data may include confidential information. You must protect confidential information with reasonable care and use it only for authorized purposes.

12. Ownership

CoreData and its licensors retain all rights, title, and interest in the application, software, documentation, designs, workflows, and related intellectual property. You retain ownership of your underlying business data, subject to the rights needed for CoreData to provide, secure, maintain, and improve the application.

13. Disclaimer

To the maximum extent permitted by law, the application is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, CoreData will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from or related to use of the application. Any liability that cannot be excluded will be limited to the amount permitted by applicable law or the applicable written agreement with CoreData.

15. Termination

CoreData may suspend or terminate access if you violate this agreement, create security or operational risk, lose authorization to access connected data, or if continued access would violate law, Intuit requirements, or a third-party obligation. Upon termination, you must stop using the application and return or delete confidential materials as instructed.

16. Updates to This Agreement

CoreData may update this agreement from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the application after an update means you accept the updated terms.
